I. General Terms and Conditions

§ 1 Basic Provisions

  1. The following terms and conditions apply to contracts that you conclude with us as the provider (Rüdinger Vertrieb UG (haftungsbeschränkt)) via the website Halfenstore.de. Unless otherwise agreed, the inclusion of your own terms and conditions, if any, is hereby rejected.

  2. A consumer within the meaning of the following provisions is any natural person who enters into a legal transaction for purposes that are predominantly outside their commercial or self-employed professional activity. An entrepreneur is any natural or legal person or a partnership with legal capacity who acts in the exercise of their independent professional or commercial activity when concluding a legal transaction.

  3. The language available for the conclusion of the contract is exclusively German. Any translations of these terms and conditions into other languages are provided for information purposes only. In the event of discrepancies between the language versions, the German text shall prevail.

  4. We do not store the complete contract text. Before submitting the order via the online shopping cart system, the contract data can be printed using the browser’s print function or saved electronically. After receipt of the order, the order data, the legally required information for distance contracts, and the General Terms and Conditions will be sent to you again by email.

§ 2 Conclusion of the Contract

  1. The subject matter of the contract is the sale of goods.

  2. The presentation of goods and services in our online shop does not constitute a legally binding offer, but rather an invitation to place an order (invitatio ad offerendum).

  3. The contract is concluded via the online shopping cart system as follows:

  • During the ordering process, you first place the desired goods or services in the shopping cart. There, you can change the desired quantity or remove selected goods at any time.

  • If you have placed goods in the shopping cart, clicking the “Continue” buttons will first take you to a page where you enter your personal data and then select the shipping and payment method.

  • Finally, an overview page opens where you can review your details.

  • If you use an instant payment system (e.g. PayPal (Express/Plus/Checkout), Amazon Pay, Sofort, giropay), you will either be directed to the order overview page in our online shop or redirected to the website of the instant payment provider.

  • If you are redirected to the respective instant payment system, you make the corresponding selection or enter your data there. Finally, the order details will be displayed as an order overview either on the website of the instant payment provider or after you are redirected back to our online shop.

  • Before submitting the order, you have the opportunity to review the information in the order overview again, change it (also via the “back” function of the internet browser), or cancel the order.

  • By submitting the order via the corresponding button (“order with obligation to pay”, “buy” / “buy now”, “place paid order”, “pay” / “pay now”, or similar wording), you submit a binding offer to purchase the goods displayed in the order overview. Immediately after submitting the order, you will receive an order confirmation, which does not yet constitute acceptance of your contractual offer. A contract between you and us is only concluded once we accept your order in a separate email or once you receive a shipping confirmation by email. Please regularly check the spam folder of your email inbox.

  1. The processing of the order and transmission of all information required in connection with the conclusion of the contract takes place partly automatically via email. You must therefore ensure that the email address stored with us is correct, that receipt of emails is technically guaranteed, and in particular that it is not prevented by spam filters.

§ 3 Shipping and Delivery

  1. Delivery takes place within Germany and to selected countries. Please refer to our shipping information page for the currently available countries.

  2. Within Germany, the flat shipping fee is €4.90. Shipping costs for other countries can be found on our shipping information page. The shipping costs applicable to your order will be transparently displayed before completion of the order during checkout.

  3. Free shipping within Germany: Orders with a value of €150.00 or more qualify for free shipping within Germany. The relevant threshold is based on the order value after deduction of all discounts and vouchers, excluding shipping costs. Free shipping applies exclusively to deliveries within Germany and to standard shipping.

  4. Delivery time within Germany is generally 2–4 working days after shipping confirmation. Delivery times for other countries can be found on our shipping information page.

§ 4 Special Agreements on Offered Payment Methods

1. Payment via SOFORT / Sofortüberweisung

If you select the payment method Sofort / Sofortüberweisung, payment processing is carried out via the payment service provider Sofort GmbH (Theresienhöhe 12, 80339 Munich, Germany; “SOFORT”). Sofort GmbH is part of the Klarna Group (Klarna Bank AB (publ), Sveavägen 46, 111 34 Stockholm, Sweden). Use of the SOFORT payment method requires that you have an online banking account enabled for this purpose. During the payment process as part of the order, you must authenticate yourself accordingly and confirm the payment instruction to SOFORT. Your bank account will be debited immediately after placing the order. Further information about SOFORT can be found at https://www.klarna.com/sofort/.

2. Payment via “PayPal” / “PayPal Checkout”

If you select a payment method offered through “PayPal” / “PayPal Checkout”, payment processing is carried out via the payment service provider PayPal (Europe) S.à.r.l. et Cie, S.C.A. (22-24 Boulevard Royal L-2449, Luxembourg; “PayPal”). The individual payment methods offered through “PayPal” are displayed under a correspondingly designated button on our website and during the online ordering process. “PayPal” may use additional payment services for payment processing; if special payment conditions apply, you will be informed separately. § 5 Right of Retention, Retention of Title

  1. You may only exercise a right of retention insofar as it concerns claims arising from the same contractual relationship.

  2. The goods remain our property until full payment of the purchase price has been made.

§ 6 Rights in the Event of Delay and Defects; Liability

  1. If the delivered goods do not meet:

a. the subjective requirements, meaning they do not have the agreed characteristics between you and us, are not suitable for the use assumed under the contract, or are not delivered with the agreed accessories and instructions, such as assembly or installation instructions;

b. the objective requirements, meaning they are not suitable for ordinary use or do not have characteristics customary for goods of the same kind or that the buyer may expect considering the nature of the goods and/or public statements made by the seller or another party in the contractual chain, particularly in advertising or on the label, or if they do not correspond to a sample or model provided before the conclusion of the contract, or are not delivered with accessories including packaging, assembly or installation instructions, and other instructions the buyer can expect to receive; or

c. the installation requirements (if installation is required),

then we are obliged to provide subsequent performance.

  1. Illustrations or drawings contained in our brochures, advertisements, online shop, and other offer documents are only approximate unless expressly designated as binding by us. This applies in particular to color specifications; deviations of the delivered goods therefore do not constitute a defect regarding the objective requirements of the goods within the meaning of the preceding paragraph. The same applies if we have expressly and separately agreed with you on a deviation from the objective requirements of the goods.

  2. We are not obliged to provide subsequent performance if we are entitled to refuse subsequent performance under statutory provisions.

  3. Subsequent performance shall, at your choice, take place either by remedying the defect (repair) or by delivery of new goods (replacement delivery). You must provide us with the goods for the purpose of subsequent performance. Furthermore, you must grant us a reasonable period for subsequent performance. During subsequent performance, you are not entitled to reduce the purchase price or withdraw from the contract. If we have unsuccessfully attempted repair twice, the repair shall be deemed to have failed. If subsequent performance fails, you are entitled, at your choice, to reduce the purchase price or withdraw from the contract.

  4. You may only assert claims for damages due to a defect once subsequent performance has failed. Your right to assert further claims for damages in accordance with the following paragraphs remains unaffected.

  5. We shall be liable in accordance with statutory provisions for damages to life, body, and health resulting from a culpable breach of duty by us, our legal representatives, or vicarious agents. Furthermore, we shall be liable in accordance with statutory provisions for other damages resulting from intentional or grossly negligent breaches of contract as well as fraudulent intent by us, our legal representatives, or vicarious agents. Insofar as the scope of application of the Product Liability Act is opened, we shall be liable without limitation in accordance with its provisions.

  6. We shall also be liable within the framework of a quality and/or durability guarantee if we have issued such a guarantee for the delivered goods. If damages occur because the guaranteed quality or durability is lacking, but such damages do not occur directly to the goods delivered by us, we shall only be liable if the risk of such damages is evidently covered by our quality and durability guarantee.

  7. If damage due to delay or a defect is based on the slightly negligent breach of an essential contractual obligation, meaning a duty whose fulfillment makes the proper execution of the contract possible in the first place and on whose compliance you as the buyer may regularly rely (such as timely delivery of the goods), our liability shall be limited to the foreseeable damage typical for the contract at the time of contract conclusion. The same applies if you are entitled to claims for damages instead of performance.

  8. Further liability claims against us are excluded, regardless of the legal nature of the claims asserted against us. Our liability pursuant to paragraph 6 above remains unaffected.

§ 7 Choice of Law, Place of Performance, Jurisdiction

  1. German law shall apply. For consumers, this choice of law only applies insofar as the protection granted by mandatory provisions of the law of the country of the consumer’s habitual residence is not withdrawn (principle of favorability).

  2. The place of performance for all services arising from the business relationships existing with us, as well as the place of jurisdiction, shall be our registered office, provided you are not a consumer but a merchant, a legal entity under public law, or a special fund under public law. The same applies if you do not have a general place of jurisdiction in Germany or the EU, or if your place of residence or habitual abode is unknown at the time legal action is filed. The right to bring proceedings before another statutory court of jurisdiction remains unaffected.

  3. The provisions of the UN Convention on Contracts for the International Sale of Goods (CISG) shall expressly not apply.

2. Alternative Dispute Resolution

The European Commission provides a platform for out-of-court online dispute resolution (ODR platform), available at https://ec.europa.eu/odr.

We are neither willing nor obliged to participate in dispute resolution proceedings before consumer arbitration boards.

3. Prices and Payment Terms

3.1.

The prices stated in the respective offers as well as the shipping costs represent total prices. They include all price components including all applicable taxes.

3.2.

The applicable shipping costs are not included in the purchase price. They can be accessed via a correspondingly designated button on our website or in the respective offer, are shown separately during the ordering process, and must be borne by you additionally unless free shipping has been promised. Within Germany, delivery is free of shipping costs for orders over €150.00 (after deduction of discounts and vouchers, excluding shipping costs).

3.3.

For deliveries to countries outside the European Union, additional costs not attributable to us may arise, such as customs duties, taxes, or money transfer fees (bank transfer or exchange rate fees), which must be borne by you.

3.4.

Any costs incurred for money transfers (bank transfer or exchange rate fees) must be borne by you in cases where delivery is made to an EU member state but payment was initiated outside the European Union.

3.5.

The payment methods available to you are shown under a correspondingly designated button on our website or in the respective offer.

3.6.

Unless otherwise stated for the individual payment methods, payment claims arising from the concluded contract are due immediately.

4. Delivery Conditions

4.1.

The delivery conditions, delivery date, and any existing delivery restrictions can be found under a correspondingly designated button on our website or in the respective offer.

4.2.

Within Germany, the flat shipping fee is €4.90 with a delivery time of 2–4 working days after shipping confirmation. Orders over €150.00 (after deduction of discounts and vouchers, excluding shipping costs) are delivered free of shipping charges within Germany. Shipping costs and delivery times for other countries can be found on our shipping information page. The shipping costs applicable to your order will be transparently displayed before completion of the order during checkout.

4.3.

If you are a consumer, it is legally stipulated that the risk of accidental loss and accidental deterioration of the sold item during shipment passes to you only upon handover of the goods, regardless of whether the shipment is insured or uninsured. This does not apply if you have independently commissioned a transport company or another person designated to carry out the shipment that was not named by the entrepreneur.
